Custom Embroidery Terms & Conditions:

Effective date: 10/1/2025

By placing a custom embroidery order or approving a proof you agree to these Custom Embroidery Terms of Service, which supplement Needle & Knot’s standard Terms of Service. If you do not agree, do not place custom orders.

Design Submissions and Intellectual Property

You represent and warrant that you own or have obtained all rights, licenses, and permissions for any artwork, logos, fonts, photos, or text submitted for embroidery. Do not submit copyrighted, trademarked, unlawful, hateful, obscene, or defamatory material. By submitting content you grant Needle & Knot a limited, non-exclusive license to use, reproduce, and modify the content solely to produce and fulfill your order. Prohibited content will be refused.

Copyright and Customer-Submitted Content

Representations and warranties: By submitting artwork, logos, fonts, photos, text, or other materials for custom embroidery you represent and warrant that you own the rights to that content or have obtained all necessary permissions and releases for its use. Submitting copyrighted or trademarked material without permission is prohibited.  
License for production: You grant Needle & Knot a limited, non-exclusive license to use, reproduce, and modify submitted content solely to produce and fulfill your order.  
Prohibited submissions: Content that infringes intellectual property rights, is unlawful, hateful, obscene, defamatory, or otherwise inappropriate will be refused.

 Proofs Approvals and Design Changes

Needle & Knot may provide a proof for approval. Your written approval authorizes production. Needle & Knot may make reasonable adjustments to submitted artwork to ensure stitchability, durability, and legibility and will consult you for significant changes. Once you approve a proof, changes may not be possible without additional fees and delays.

Pricing Payment and Cancellations

Full payment is due before production begins. Prices, fees, and availability are subject to change prior to payment. Orders may be cancelled before production begins and may be subject to non-refundable deposit fees; orders in production are not cancellable.

Turnaround Shipping and Title Transfer

Turnaround times are estimates and may vary with design complexity, quantity, approvals, and material availability. Title and risk of loss transfer to you when the order is delivered to the carrier. Verify shipping details carefully; mis-deliveries due to incorrect addresses are your responsibility.

Returns Exchanges and Issue Reporting

All custom embroidery sales are final. If you believe an item was produced incorrectly, contact sales@shopneedleandknot.com within 24 hours of delivery with your order number, description, and photos. Remedies, at Needle & Knot’s discretion, may include repair, replacement, or partial refund limited to the value of the affected item.

Warranty Disclaimers and Limitation of Liability

To the maximum extent permitted by law the website and products are provided “as is” and “as available” without warranties of any kind. Needle & Knot’s liability for claims related to custom embroidery is limited to the value of the affected order and excludes incidental or consequential damages to the fullest extent allowed by law.
Store Use Requirements Order Acceptance and Enforcement
To place orders you must be at least 18 years old or have parental or guardian consent. Provide accurate and complete information when ordering. Needle & Knot may refuse, cancel, or limit any order at our discretion, including suspected resale, fraud, or unlawful use.

Termination Modifications and Updates

Needle & Knot may suspend or terminate access, cancel orders, or refuse service for violations of these Terms. We may update these Terms at any time; changes are effective upon posting and continued use constitutes acceptance. It is your responsibility to review these Terms periodically.

Governing Law and Venue

These Terms are governed by the laws of the State of Ohio. Any disputes will be resolved in state or federal courts located in Summit County, Ohio.
